Offers and studies

Our offers are time-limited, either according to legal provisions or as specified in the offers. Our offers are confidential and will be transmitted exclusively to the persons responsible for processing them. Ledixa reserves the rights of ownership and copyright for all studies, plans, electrical diagrams, estimates, preliminary projects, and studies. Any partial or complete reproduction is prohibited unless agreed upon in writing. These documents are intended for the exclusive use of the principal and may not be used as a basis or source of information for purposes other than those for which Ledixa was mandated. These documents are personally delivered to the recipient and must not be copied or made accessible to third parties without the written authorization of Clarma SA. Project studies and photometric studies conducted will be billed to the principal if they are not followed by a corresponding order. Oral agreements are only valid if confirmed in writing. Only signed offers will be considered accepted.

Prices and orders

All prices listed in price lists and brochures are subject to change at any time and without notice. An up-to-date price list is always available on our website www.clarma.com. Prices are valid from stock, excluding shipping, packaging, and insurance. We charge packaging, postage, and transportation fees for all orders below CHF 5,000 net excl. VAT as follows: Parcel ≤ 30Kg CHF 14; Parcel >2m CHF 60; Euro pallet CHF 80. Acceptance and execution of orders may be subject to a credit guarantee or advance payment. Only written orders (email/fax) will be processed. Order cancellations or contract terminations are not possible. Our business partners agree to comply with our established prices and discounts.

The delivery period begins upon receipt of our order confirmation bearing the customer's stamp and signature, without any modifications, and if applicable, upon receipt of the confirmation deposit. Qualitative, quantitative, and technical details must be settled beforehand. In the event of a possible delivery delay, the customer is not entitled to cancel the order or claim damages. We reserve the right to execute a delivery to a late-paying debtor only after full settlement of their outstanding invoices. Transportation is carried out at the buyer's expense and risk. Transport-related damages must be reported immediately, preferably directly to the driver, and then to the carrier. By signing the delivery note for the carrier, the customer confirms the receipt of the goods in good condition. Insurance against any damage is the responsibility of the buyer. Upon request, we will arrange insurance in the name and at the expense of the buyer.

Return of goods and samples

The customer has no right to return the ordered goods. If an exception is granted, the goods will be credited in the form of a credit note, with 20% deducted from the net value of the material excluding VAT as handling fees. Returns are only accepted after written approval from our company. The credit note will be issued only if the goods are returned in impeccable condition, complete, and in the original packaging. As an exception, Clarma SA may provide samples and/or luminaires for lighting tests. The customer must return them within 30 days in impeccable condition, complete, and in the original packaging without any markings. Material that is not returned or that has been modified or damaged will be charged to the customer. Samples specifically manufactured/ordered at the customer's request will be charged separately if no corresponding order is subsequently placed. Returns are excluded for custom-made, modified, or specially ordered items.

Payment Terms and Retention of Title

Unless otherwise specified, invoices are payable within 30 days net and without discount. A confirmation deposit of 50% may be required for any order exceeding CHF 10,000 net. Advance payment may be required from new clients as well as clients domiciled abroad. We reserve the right to apply a different payment method. The withholding of payments and the offsetting of our claims with counterclaims that we have not recognized are not permitted. We retain ownership of all products sold until they are fully paid. All costs related to the collection of late payments, including late payment interest and collection fees, are the responsibility of the buyer.

Warranty

Apart from the description on the products, we do not provide any formal warranty. We exclude any warranty rights regarding merchantability or fitness for a particular purpose. As we have no control over the use of our products after sale, we disclaim all liability for indirect or consequential damages. We reserve the right to remedy the defect through repair. Any additional warranty services, especially rescission, price reduction, or damages, are excluded. In particular, costs related to auxiliary means for accessing the product, disassembly and reassembly costs, storage costs, or immediate or mediated damage costs to objects not recognized by us are excluded. We decline all liability if the customer modifies or transforms the products after delivery. Each user or consumer of our products must ensure, before use, their suitability for the intended purpose. They expressly assume all risks associated with the use of the product and are solely responsible for any resulting damages. For any warranty claim, the defective material must be returned to us, properly packaged and carriage paid.

Legal venue

For any potential disputes, Swiss law is applicable.
The legal venue and place of execution is Lausanne.
